Terms of Service

1. Welcome to Heron

These Terms of Service (“Terms”) govern your use of the Heron web application and any related services (collectively, “Heron” or the “Service”) provided by ND Flow State, operated by Ida Kuhlmann, Birken 10, 4.TV, 4300 Holbæk, Denmark (“we”, “us”, or “our”).

By creating an account, subscribing, or using Heron, you agree to these Terms. If you do not agree, please do not use the Service.

2. What Heron is

Heron is a digital self-service tool designed to help neurodivergent adults build personal rituals and habits that support entering a focused, productive state (“flow state”). Heron includes guided prompts, journaling, wellbeing tracking, AI conversation support, and optional subscription features.

Heron is not a medical device, therapy platform, diagnostic tool, or healthcare service. It is a general wellness and productivity tool. If you have medical, mental health, or occupational concerns, please consult a qualified professional.

3. Accounts and eligibility

To use most features of Heron, you must create an account. You agree to provide accurate information and keep your login credentials secure. You are responsible for all activity under your account.

Heron is intended for adults aged 18 and over. If you are under 18, you may not use the Service without the consent of a parent or guardian who accepts these Terms on your behalf.

4. Subscription, billing, and cancellation

Access to Heron is provided through a paid subscription described in our Subscription & Cancellation Policy. By subscribing, you authorize us to charge your payment method through our payment processor, Stripe.

Your subscription automatically renews until cancelled. You may cancel or pause your subscription at any time through your account settings. Cancellation stops future billing. Pausing suspends billing for a selected period. See the Subscription & Cancellation Policy for full details.

We reserve the right to change subscription prices. If we do, we will notify you in advance. Price changes apply to your next billing cycle after notice.

5. Beta users and founder testers

Selected early users may be granted access on a free or discounted basis (“founder testers”). These arrangements are invitation-only, may be changed at our discretion, and do not guarantee lifetime pricing or perpetual access.

6. Acceptable use

You agree to use Heron lawfully and respectfully. You may not:

  • Use the Service to harass, abuse, or harm others
  • Share account access with others or allow unauthorized access
  • Attempt to disrupt, reverse-engineer, or overload the Service
  • Upload unlawful, infringing, or offensive content
  • Use automated systems or scraping tools without permission

We may suspend or terminate your account if you violate these rules.

7. Intellectual property

All content, code, designs, and branding in Heron are owned by ND Flow State or our licensors and are protected by copyright and other intellectual property laws.

You retain ownership of the content you create in Heron (for example, journal entries, intentions, and wellbeing notes). You grant us a limited license to store and process that content so we can provide and improve the Service.

8. AI chat and Heron memory

Heron includes an AI assistant that may respond to your messages. Conversations may be stored to help personalize your experience. You control what the Heron remembers through your settings.

AI-generated responses are informational and supportive only. They do not replace professional advice, diagnosis, or treatment. We are not liable for any action you take based on AI output.

9. Disclaimer and limitation of liability

Heron is provided “as is” without warranties of any kind. We do not guarantee that the Service will always be available, uninterrupted, or error-free.

To the extent permitted by law, ND Flow State and its operator will not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the claim.

Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded under applicable law.

10. Termination

You may delete your account at any time. We may suspend or terminate your account if you breach these Terms, fail to pay, or if we discontinue the Service.

Upon termination, your right to access the Service ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, and liability) will continue to apply.

11. Governing law and disputes

These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules. Any dispute arising from these Terms or your use of Heron will be resolved in the courts of Denmark, unless mandatory local law requires otherwise.

If you are a consumer resident in the European Union, you also benefit from mandatory consumer protections under your local law.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use of Heron after changes take effect means you accept the updated Terms.
